NOTICE is hereby given under Article 39 of the Articles of Association (Subsequent office order no. ROC/Kolkata dated. 23/09/2021 of Registrar of Company, Ministry of Corporate Affairs, Govt. of India regarding extension of time for holding Annual General Meeting (AGM) for the financial year ended 31/03/2021) that the Annual General Meeting of the Darjeeling Gymkhana Club Ltd. will be held in the Club premises on Thursday the 18th November 2021 at 4.30 p.m. at Banquet Hall maintaining Social Distance as per Covid-19 SoP of the Govt. However, Members are hereby requested to make it convenient to attend the same.
AGENDA
1. To receive the Governing Body Report 2020-21 and pass the Audited Accounts for the year ending 31st March 2021.
2. To appoint Auditors for 2021/2022 and to fix their remuneration. Messer’s SPJT & Associate & Co. have been Auditors for the last 3 years and offering themselves for re-appointment at remuneration of ₹30,000/- Audit fee and out-of-pocket expenses.
3. The Registrar of Companies, West Bengal has duly approved the following articles adopted and the Extra-Ordinary General Meeting of the Club held on 27th Day of July 2021 for regularization in Memorandum & Articles of Association of the Club.
“RESOLVED THAT pursuant to the provision of Section 8 of the Companies Act, 2013, or any other applicable provision, if any, including any amendment thereof, on approval of members in general meeting, Article 19 of the Article of Association substituted as follows:
ARTICLE 19
A Permanent Member shall on election pay an Entrance Fee as under:
i). A Member who is ordinarily resident of Darjeeling or of the Darjeeling District: ₹ 2,00,000/-+ admissible taxes.
ii) A Member who is ordinarily not resident of Darjeeling or of the Darjeeling District: ₹5,00,000/- + admissible taxes.
iii) Immediate dependent members own Son’s & Daughter’s: ₹ 75,000/- (For District/ Station Members).+ admissible taxes.
iv) Immediate dependent member like members own Son/s & Daughter/s: ₹ 3,00,000/- (For Out of District Members). + admissible taxes.
v) In the case of families, a further ₹15,000/-+ admissible taxes for each additional Member shall be payable in both the above cases.
vi) Security Deposit of ₹20,000/- shall be deposited along with the Entrance fee.”
“FURTHER RESOLVED THAT pursuant to the provision of Section 8 of the Companies Act, 2013, or any other applicable provision, if any, including any amendment thereof, on approval of members in general meeting, “Scale of Permanent Members” of Appendix C of the Article of Association substituted as follows:

“FURTHER RESOLVED THAT pursuant to the provision of Section 8 of the Companies Act, 2013, or any other applicable provision, if any, including any amendment thereof, on approval of members in general meeting, Part 13 of Appendix C of the Article of Association substituted as follows:
PART-13 OF APPENDIX C
Associate (Temporary) Membership can be given to all such persons residing within Darjeeling District for a period of 1 year at a contribution of ₹25,000/- each for every additional dependent member of his/her family (restricted to a maximum 2 additional members) to be paid in advance. These members can also avail of the facilities available in various outstation clubs affiliated to our Club as per the existing arrangement. For all such Associate (Temporary) members under this clause minimum billing should be ₹5000/- for every two months cycle as in the case of Permanent Members in the station. All application for Associate (Temporary) membership will be scrutinized and accepted absolutely at the discretion of the Managing Committee.”
“FURTHER RESOLVED THAT pursuant to the provision of Section 8 of the Companies Act, 2013, or any other applicable provision, if any, including any amendment thereof, on approval of members in general meeting, Paragraph 6 of Article 24 of the Article of Association to be deleted and no longer to be the part of the Article of Association of the company.”
“FURTHER RESOLVED THAT pursuant to the provision of Section 8 of the Companies Act, 2013, or any other applicable provision, if any, including any amendment thereof, on approval of members in general meeting, the Article 26 of the Article of Association of the company substituted as follows:
ARTICLE 26
The Governor of West Bengal shall be Ex-officio President of the club and Maharaj Kumar Dr. Pronoy Chand Mahatab of Burdwan, the Commissioner of the Division, the Principal Secretary, Gorkhaland Territorial Administration, the Senior General Officer commanding stationed in the district, the Inspector General of Police, Northern Range, West Bengal, DIG, Darjeeling Range, and the Area Commander and Vice-Presidents shall be members of the governing body of the Club.”
“FURTHER RESOLVED THAT pursuant to the provision of Section 8 of the Companies Act, 2013, or any other applicable provision, if any, including any amendment thereof, on approval of members in general meeting, the Article 28 of the Article of Association of the company substituted as follows:
ARTICLE 28
On the 1st August, biannually the Secretary shall post a notice in the Front Hall of the Club asking Members of the Company who are willing to serve on the Committee for the ensuing years to register their names in the Office. This register will be closed on the 10th of August. Only Members whose names are so registered shall be eligible as candidates for election to the Committee at the General Meeting. The names of the members willing to serve shall be entered in the Agenda and be circulated to Members.
The term of the elected office bearers would be two years. First-year they will hold Annual General Meeting and in the Second Year, there will be Annual General Meeting with the election.
No member shall be entitled to register his name as a candidate to serve on the Committee unless sums which are in arrear for 3 (three) months at the time of registration have been paid before the registration and also has not completed his 2 (two) years permanent membership.”
NOTICES:
1. The Committee will be obliged if members who may desire to ask any question regarding the accounts in the General Meeting on 18th November 2021 will be good enough to submit such question in writing to the Club Office to Sri. Satish Gurung on or before the 16th November 2021.
2. Voting by Proxy at the Meeting is permissible with the exception of the election of members of the Committee (Item No.2). No person shall act as a Proxy unless he is a member of the Company.
3. No Member shall be entitled to vote in the Annual General Meeting unless sums which are in arrears for two months at the time of Annual General Meeting have been paid.
